Terms
The terms on which Apps 365 Ltd provides the expirypoint.com website and licenses ExpiryPoint to organisations, including free trials.
Last updated: 27 October 2026
1. About these terms
These terms form an agreement between Apps 365 Ltd, a company registered in England and Wales with number 13955007 whose office is at 20-22 Wenlock Road, London N1 7GU, United Kingdom ("we", "us"), and the organisation that uses this website, downloads or licenses ExpiryPoint ("you"). ExpiryPoint is for businesses and other organisations, not consumers. If you accept these terms for an organisation, you confirm you have authority to bind it.
Where you and we have signed a separate agreement or order form for ExpiryPoint, it takes precedence over these terms where they conflict.
2. Definitions
- ExpiryPoint or the Product: our SharePoint Framework web part and Microsoft Teams app that schedules, records and reports reviews of SharePoint documents, supplied as a package for your SharePoint app catalog, with its updates and documentation.
- Order: a quote, order form, invoice or online checkout that sets out the level and fees you have chosen.
- Level: where a licence key works: one site, one site collection, or your whole Microsoft 365 tenant (Tenant up to 1,000 users, Tenant Plus above that).
- Your Environment: your Microsoft 365 tenant, SharePoint Online sites and Microsoft Teams in which the Product runs.
- Your Data: any data in Your Environment that the Product reads, creates or stores, including review records, rules, settings and the decision log.
3. The product
ExpiryPoint runs in Your Environment, in the browser of the person using it and with that person's own SharePoint permissions. It reads the details of documents in the libraries and sites you choose, such as names, dates, owners, content types, column values and sensitivity labels, sets review dates by your rules, sends reminders by email through Microsoft Graph where your administrator has approved its optional Mail.Send permission, records review decisions, approvals and other actions in lists in Your Environment, and reports on them. Recording a review does not change the document. Moving, labelling or recycling retired documents happens only if a site owner switches it on and a person in your organisation carries it out. We provide the Product with reasonable skill and care. We do not promise that it will be uninterrupted or free of errors, that every document will be reviewed on time, or that it will meet every requirement you have.
4. Your licence
You may install the Product and use its free snapshot without charge. Subject to these terms, your Order and payment of the fees, we grant you a non-exclusive, non-transferable licence to use the full Product at the level in your Order, for your internal business purposes, during the licence term. Microsoft 365 partners and managed service providers may use it for their clients where their Order or a partner agreement allows.
You must not, except as the law allows: copy, resell, rent or sublicense the Product; reverse engineer, decompile or try to derive its source code; work around its licence checks; remove our notices; or use it to build a competing product.
5. Your responsibilities
- You are responsible for Your Environment, its Microsoft licences and settings, and the accounts and permissions of the people who use the Product.
- You are responsible for your rules, intervals, reviewers and approvers, and for the review decisions people in your organisation make. Whether a document is still current is their judgement, not the Product's.
- You are responsible for deciding whether to switch on moving, labelling or recycling retired documents, and for checking each one before it is carried out. Recycled documents can be restored from the recycle bin only while your SharePoint settings keep them there.
- You must use the Product lawfully and in line with Microsoft's terms and your own policies, including when reminders are sent to people in your organisation.
6. Fees and renewal
Fees are set out in your Order and on our pricing page, in pounds sterling and excluding VAT, which you pay in addition where it applies. Unless your Order says otherwise, fees are payable yearly in advance and within 30 days of invoice; orders placed online are paid at checkout. Fees are not refundable except where the law requires.
Licences run for twelve months from the date your licence key starts. A licence bought online as a yearly subscription renews for another twelve months, with a new licence key that starts the day after the current one ends, unless you cancel it before the renewal date. Other licences renew only when you place a renewal Order, and we will remind you before they end. We may change our prices for a new term by telling you in advance.
7. Free snapshot and trials
The free snapshot shows how old a site's documents are, without a licence. A free trial unlocks the full Product for one site collection for 14 days. One trial is available for each site collection, and each organisation can start up to three trials in any 90 days. We may change or end trials at any time. No fees are due for the snapshot or a trial. When a trial ends, the Product returns to the free snapshot; the review records it created stay in Your Environment. Sections 12 and 13 apply to them.
8. The daily check-in
Once a day per site, the Product sends us a small check-in about the installation, as described in our privacy notice. A site owner can switch it off. Licence checks never depend on it.
9. Intellectual property
We and our licensors own all intellectual property in the Product, this website and the ExpiryPoint name and mark. These terms give you only the licence in section 4. You own Your Data, including the review records, decision log and reports the Product creates in Your Environment and the files you export. We may use feedback you choose to give us to improve our products.
10. Data protection
The Product runs in Your Environment and stores its records there. We do not host or receive Your Data, and you are the controller of it. Our use of personal data through this website, trial requests, the check-in and our customer records is described in our privacy notice. If you ask us to look at Your Data while supporting you, for example in a shared screen session, we will use it only for that purpose and keep it confidential.
11. Microsoft and third parties
The Product depends on Microsoft 365, SharePoint Online, Microsoft Teams and, if you use our recipe, Power Automate, which Microsoft provides under its own terms. We are not responsible for Microsoft's services, for email delivery by Microsoft 365, or for changes Microsoft makes that affect how the Product works, but we will make reasonable efforts to keep the Product working with them during your licence term.
12. Warranties
Apart from the commitments in these terms, the Product, the free snapshot, trials and this website are provided "as is", and we exclude all other warranties to the extent the law allows. The Product helps your organisation schedule, record and evidence document reviews. It does not make you compliant with any law, regulation or standard, it does not judge whether a document's content is accurate, and it does not cover systems other than the SharePoint sites and libraries you choose.
13. Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
Subject to that, we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability arising from these terms or the Product in any twelve months is limited to the greater of the fees you paid us for the Product in the previous twelve months and £100.
14. Confidentiality
Each of us will keep the other's confidential information confidential and use it only for the purposes of these terms, except where the law requires otherwise.
15. Term and termination
Your licence lasts for the term in your Order. Either of us may end it straight away by notice if the other seriously breaches these terms and does not put it right within 30 days of being asked, or becomes insolvent. When your licence ends, the Product returns to the free snapshot. The records the Product created in Your Environment remain yours.
16. Changes
We may update these terms, for example when the Product or the law changes. The version at the start of your licence term applies to that term.
17. General
These terms and your Order are the whole agreement between us about the Product. If any part is found unenforceable, the rest still applies. A failure to enforce a right is not a waiver of it. Neither of us is liable for delays caused by events beyond our reasonable control. Nobody other than you and us has rights under these terms.
18. Governing law
These terms and any dispute about them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions about these terms: info@apps365ltd.com.
